Individuals that practice in the area of executive compensation and employee benefits offer advice to companies and boards of directors, and deal with compensation committees and executives one-on-one, while discussing hundreds of types of business transactions that comprise this complex area of the law. Transactions include acquisitions, leveraged buyouts, mergers, recapitalization, bankruptcies, spinoffs, workouts, joint ventures and initial public offerings and many more.
Executive compensation and employee benefits law governs the recruitment of senior executives, corporate governance, securities, fiduciary, disclosure, taxes and taxation, and the design and implementation of equity retention and other compensation plans.
Other issues involved in this area of law include working with senior executive employment and separation contracts/agreements, stock options, retirement benefits and deferred compensation. ERISA issues play a role in this area of the law, as they are applicable to private equity instruments and hedge funds, and ERISA fiduciary.
While much of the work in this field is transactional, many lawyers do make appearances before various government agencies, such as the IRS and the SEC.
